1. Scope and acceptance
These Document Licence, Permitted Use & No-Redistribution Terms ("Licence Terms") apply to CPC digital toolkits, templates, governance/compliance documents, document packs, reports, spreadsheets, checklists, guides and other CPC-created downloadable or issued documents (collectively, "CPC Documents").
The Licence Terms apply whether a CPC Document is purchased individually, supplied within a Tier/pack, released through the CPC NPO Platform, supplied as part of CPC Assistance or otherwise delivered subject to CPC’s customer terms.
The client accepts these Licence Terms when it expressly accepts them during account, checkout or purchase flow, or when it downloads, receives or uses a CPC Document after being given reasonable notice that these Licence Terms apply. CPC may retain versioned acceptance evidence.
2. Ownership of CPC intellectual property
Except for client-owned information and clearly identified third-party or official-source material, all intellectual property in CPC Documents and the underlying CPC methodologies remains owned by or licensed to Castor Project Consultants (Pty) Ltd.
• This includes copyright, document structure, wording, layouts, checklists, tables, workflows, methodologies, taxonomy, template design, compilation, know-how, document identifiers and proprietary organisation of content.
• Purchase price is consideration for the limited licence and access rights described in these Licence Terms; it is not an assignment or sale of CPC’s copyright or other intellectual property.
• All rights not expressly granted are reserved by CPC.
3. Licence granted to the client
Subject to payment, applicable release controls and compliance with these Licence Terms, CPC grants the licensed client a limited, non-exclusive, non-transferable and non-sublicensable licence to use the applicable CPC Document for the internal purposes of the specific organisation/NPO for which it was purchased or issued.
Where the order or issued document identifies an NPO name, CPC Reference, order number, document ID or other client identifier, that organisation is the licensed organisation. A licence for one NPO, company or project does not automatically extend to another organisation, affiliate, client or unrelated project.
4. Permitted use
The licensed organisation may, subject to these Licence Terms:
• download and retain the CPC Document for its own authorised internal records;
• edit fields, names, dates, figures and organisation-specific content to adapt the document for its own legitimate use;
• print reasonable copies for internal governance, administration, meetings, compliance, funding or operational purposes;
• use the completed document as part of the licensed organisation’s own DSD, NLC, funding, banking, audit, municipal, government, donor or other legitimate third-party process;
• store the completed document in the organisation’s own secure records; and
• provide the document to CPC where reasonably necessary for CPC Assistance, update, correction or other agreed services.
5. Permitted sharing and submission
The licensed organisation may share a CPC Document only to the extent reasonably necessary for its own legitimate business, governance, compliance or funding activity. Permitted recipients may include:
• authorised office bearers, directors, employees, members or authorised users of the licensed organisation;
• the organisation’s attorneys, accountants, auditors or other professional advisers who require the document for the organisation’s affairs;
• DSD, NLC, government departments, municipalities, regulators, funders, banks, donors, auditors or other institutions to which the licensed organisation legitimately submits or presents its own document; and
• other third parties where CPC has given prior written permission.
Permitted sharing does not give the recipient a separate licence to reuse the CPC Document for another organisation or to commercialise, redistribute or republish it.
6. Prohibited use and redistribution
Unless CPC gives prior written permission or applicable law requires otherwise, the client may not:
• sell, resell, rent, licence, sublicense, donate, distribute or commercially exploit a CPC Document or substantially similar derivative template;
• share a blank, reusable or editable CPC Document with another NPO, company, consultant, service provider or unrelated person for their independent use;
• publish or upload a CPC Document to a public website, public drive, template marketplace, document repository, group/community library or social-media channel;
• use a CPC Document to create a competing template pack, document service, training product, software product, subscription library or commercial compliance offering;
• systematically extract, reproduce or compile CPC content, document structures or proprietary wording for a competing or substitute offering;
• remove, conceal or falsify CPC ownership notices, document IDs, licence notices, CPC References, traceability information or watermarks where these are intended to remain on the issued document;
• circumvent CPC platform entitlement, access, release, download, security or audit controls;
• use another organisation’s CPC-issued document or CPC Reference as if it were licensed to the client; or
• upload CPC’s blank/reusable proprietary templates to a public or shared AI/model-training service where the service terms allow the template to be retained, exposed to unrelated users or used to train/generalise a reusable model, unless CPC has approved that use in writing.
7. Client data and client-created content
The client retains ownership of its own factual information, branding, signatures, financial information, governance decisions, project information and other original client content inserted into a CPC Document. CPC does not acquire ownership of that client data merely because the client uses a CPC template.
The client remains responsible for ensuring that it is authorised to provide and use personal information, third-party material and other content inserted into the document.
8. Document editing, adaptations and derivative material
CPC Documents are intentionally editable where the product requires organisation-specific completion. The client may make reasonable changes for its own permitted use. Editing a CPC Document does not transfer ownership of the underlying CPC template, structure, methodology or pre-existing content.
A client-created completed document may therefore contain both client-owned information and CPC-owned/licensed template content. The client may use that completed document for the permitted purposes in these Licence Terms, but may not extract the CPC template as a reusable commercial or third-party product.
9. CPC identification, watermarks and traceability
CPC may use document identifiers, version references, NPO/CPC References, order references, licence notices, footer/header text, watermarks or other traceability features to identify the licensed organisation, purchased product, issued version or transaction.
The presence of such identifiers does not mean CPC controls or approves the client’s later edits or final submission. The client may not remove or alter an ownership/licence identifier where removal would misrepresent the document’s source, licence or version.
10. Third-party and official-source material
Some CPC Documents may contain or refer to legislation, official forms, government guidance, public-domain material, client-provided content or third-party material. Ownership of that material remains with its lawful owner and these Licence Terms do not claim rights CPC does not own.
Where an official form must be submitted in its prescribed format, the official-source requirements prevail. CPC’s proprietary rights apply to CPC’s independent compilation, guidance, structure, commentary, supporting tools and other original material surrounding or accompanying the official source.
11. Document versions, updates and changed requirements
A licence applies to the version purchased or issued. Unless the product description, quotation or separate service expressly includes updates, purchase of a CPC Document does not create a perpetual entitlement to future versions, legal updates, regulatory changes or revised DSD/funder requirements.
CPC may update, replace or retire a document version. A later update does not automatically mean an earlier version was defective when issued. Material CPC errors are dealt with under the CPC Refund & Fix Guarantee.
12. Platform access and download controls
The intellectual-property licence and the technical right to download are related but separate. CPC may apply release dates, entitlement periods, one-download limits, re-release controls, authentication, audit logging and other platform controls to protect CPC Documents and the customer transaction.
Expiry or consumption of a download entitlement does not by itself cancel the licence for a copy lawfully downloaded and retained by the licensed organisation, unless the licence is later terminated or revoked under these Licence Terms. A customer does not acquire a right to bypass technical controls merely because a licence exists.
13. Refunds, revocation and termination of licence
Where CPC grants a full refund for a CPC Document, the licence for the refunded product terminates unless CPC expressly states otherwise in writing. The client must cease further use or redistribution of the refunded product and, where reasonably possible, delete retained blank/reusable copies.
Where CPC replaces or fixes a defective version, CPC may designate the corrected version as the authorised version and require the defective version to be retired from future use.
CPC may suspend or terminate the licence for a material breach of these Licence Terms, including deliberate unauthorised redistribution, resale, circumvention of access controls or commercial exploitation of CPC IP. Termination does not affect rights or liabilities accrued before termination.
14. Confidentiality, privacy and uploaded copies
The client must protect any personal, confidential or restricted information inserted into a CPC Document. Sharing permitted under section 5 should be limited to recipients who reasonably require the information.
If a completed document is uploaded back to the CPC NPO Platform or sent to CPC for an agreed workflow, CPC will handle personal information in accordance with its Privacy & POPIA Policy and applicable security/upload controls. The document licence does not itself authorise unnecessary disclosure of personal information.
15. No regulatory or funding guarantee
CPC Documents are support tools and do not constitute a guarantee of DSD registration, compliance status, funding, procurement success, donor approval, bank acceptance or any other third-party outcome. CPC is independent of DSD, NLC, funders and government authorities unless a specific written agreement states otherwise.
The client remains responsible for checking its completed information, obtaining required signatures/supporting evidence and making any required submission to the relevant authority. The CPC DSD Submission Disclaimer and Refund & Fix Guarantee apply where relevant.
16. Breach and enforcement
Unauthorised redistribution or commercial exploitation can cause harm that may be difficult to quantify. CPC may take reasonable technical, contractual and legal steps to stop or investigate a suspected breach, including suspending access/entitlements, preserving audit evidence, issuing a takedown or cease-and-desist demand and pursuing remedies available under South African law.
CPC will not treat accidental internal sharing within the licensed organisation in the same manner as deliberate resale or commercial redistribution; remedy and enforcement will be proportionate to the nature, impact and intent of the breach.
17. Liability and statutory rights
To the extent permitted by law, CPC is not responsible for losses caused by client alterations, inaccurate client information, use outside the intended scope, unauthorised redistribution, third-party decisions or later changes in law/authority requirements.
Nothing in these Licence Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited under applicable South African law.
18. Relationship with other CPC terms
These Licence Terms form part of CPC’s customer legal framework and must be read with the applicable Terms of Use / Terms of Sale, Privacy & POPIA Policy, Refund & Fix Guarantee, DSD Submission Disclaimer, product description, quotation and any signed service agreement.
If a signed CPC agreement expressly grants broader or narrower intellectual-property rights for a particular bespoke engagement, that written agreement governs that engagement to the extent of the inconsistency. No additional licence is created by implication.
19. Governing law and contact
These Licence Terms are governed by the laws of the Republic of South Africa. Any dispute will be dealt with under the applicable CPC terms and South African law.
